The Legal Counsel will support the Head of Corporate Services in managing Yalelo Uganda’s legal matters. This role will focus on providing practical and proactive legal support and advice across all departments of the company and specifically focus on drafting and reviewing commercial contracts, corporate housekeeping, regulatory compliance, litigation and supporting HR with employment law related matters. The ideal candidate has excellent drafting and analytical skills, strong attention to detail, high integrity and is able to work collaboratively across departments and with external stakeholders at all levels.
KEY RESPONSIBLITIES:
- Contract Management:
- Draft, review, and negotiate a wide range of commercial agreements (e.g., leases, procurement, sales, services, transport, etc.).
- Update and maintain a library of contract templates in coordination with the Head of Corporate Services.
- Support teams across the company in understanding and managing contractual obligations and risks.
- Advise on contract enforcement.
- Corporate Housekeeping and Regulatory Compliance:
- Draft corporate resolutions and assist with board and shareholder documentation.
- Liaise with the company secretary and ensure timely statutory filings.
- Collaborate with the Finance department on all matters relating to bank approvals and related corporate resolutions.
- Maintain accurate and up-to-date legal and corporate records.
- Monitor legal and regulatory developments and advise the business on implications and coordinate with external legal counsel and regulatory authorities as needed regarding regulatory matters.
- Litigation: Track and manage ongoing legal matters and disputes.
- Policy Development: Support in the development, implementation, and review of company policies and procedures.
- Employment Law Support:
- Support the HR team on employment law matters including disciplinary processes, terminations, employment contracts, and compliance with labour laws.
- Support in resolving internal employee disputes and investigations.
- Legal Operations & Administration
- Organise and manage the legal filing system.
- Develop and maintain internal legal workflows and trackers.
- Support internal trainings and awareness sessions on legal topics (e.g., contracts, compliance).
- Cross-functional Collaboration: Work closely with cross-functional teams including marketing, sales, procurement, HSE, and all others to provide practical legal solutions
REQUIRED TECHNICAL SKILLS, TRAINING & EXPERIENCE
- Bachelor of Laws (LLB) degree from a recognised university.
- Postgraduate Diploma in Legal Practice and valid enrolment to the Uganda Bar.
- 3–7 years of post-qualification experience in corporate or commercial law.
- At least 2 years in a reputable law firm; in-house legal counsel experience is an added advantage.
- Experience advising on contracts and company law are required, experience with employment law is a plus.
- Experience in industries such as agribusiness, manufacturing, or FMCG is a plus.
SKILLS & CONPETENCIES
- Strong drafting, analytical, and problem-solving skills.
- High attention to detail, accuracy, and thoroughness.
- Ability to manage multiple priorities and deliver under deadlines.
- Pro-active and results-oriented mindset.
- Able to work independently and as part of a team.
- High level of integrity, ethics, discretion, and professionalism.
- Strong interpersonal and communication skills, able to work collaboratively across teams.
- Keen interest in working in a scale-up and contributing to the rapid growth of Uganda’s number one aquaculture company.
- Proficiency in Microsoft Office and document management systems.
